Welcome to QYRONY LLC's comprehensive Vendor Guidelines. This document outlines the rules, responsibilities, and expectations for all vendors selling digital products on our platform.
Vendor Onboarding & Account Responsibilities
QYRONY LLC provides a platform for vendors to sell digital products to a global audience. To become a vendor on our platform, you must complete the onboarding process and agree to abide by these guidelines and all applicable laws.
Account Registration
- All vendors must provide accurate, complete, and current information during registration.
- You must be at least 18 years old or the legal age of majority in your jurisdiction.
- Each individual or legal entity may maintain only one vendor account unless expressly authorized by QYRONY LLC.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately of any unauthorized use of your account.
Account Responsibilities
- You are solely responsible for all activities that occur under your account.
- You must provide valid payment information as required.
- You must keep your contact information up to date at all times.
- You must comply with all applicable laws, regulations, and these guidelines.
- QYRONY LLC reserves the right to suspend or terminate accounts that violate these terms.
Eligibility to Sell
QYRONY LLC maintains specific eligibility requirements for vendors to ensure a high-quality marketplace for digital products.
Basic Eligibility Requirements
- You must have the legal capacity to enter into a binding contract.
- You must be the rightful owner or authorized licensee of all intellectual property rights in the products you list.
- You must have the necessary permissions, rights, and licenses to sell your products in all jurisdictions where they will be available.
- Your business activities must comply with all applicable local, state, national, and international laws.
Restricted Vendors
The following individuals or entities are not eligible to sell on QYRONY LLC:
- Individuals or entities located in countries subject to comprehensive U.S. sanctions.
- Individuals or entities that have been previously suspended or terminated from QYRONY LLC for policy violations.
- Individuals or entities engaged in fraudulent or deceptive business practices.
Product Requirements & Quality Standards
All products listed on QYRONY LLC must meet our quality standards and technical requirements to ensure a positive customer experience.
Product Types
QYRONY LLC accepts the following types of digital products:
- Software applications and tools
- Digital art, graphics, and design assets
- E-books, guides, and written content
- Video courses and educational materials
- Music, sound effects, and audio files
- Templates for websites, presentations, and documents
- 3D models and digital assets for various applications
- Other digital products as approved by QYRONY LLC
Quality Standards
- All products must be fully functional and free of malware, viruses, or malicious code.
- Product descriptions must accurately represent the product's features, functionality, and limitations.
- All products must include clear documentation or instructions for use.
- Products must not infringe on any third-party intellectual property rights.
- Products must comply with all applicable laws and regulations.
Technical Requirements
- Product files must be in commonly used formats compatible with major operating systems.
- File sizes should be optimized for reasonable download times.
- Products must be delivered through our secure download system.
- All products must be thoroughly tested before listing.
Product Listing & Upload Process
Creating accurate and appealing product listings is essential for customer satisfaction and sales success on QYRONY LLC.
Product Information Requirements
- Title: Clear, descriptive, and accurate product titles that reflect the product's nature.
- Description: Detailed descriptions that accurately represent the product's features, benefits, and limitations.
- Images/Previews: High-quality images or previews that accurately represent the product.
- Tags/Categories: Appropriate tags and categories to help customers find your products.
- File Information: Accurate file format, size, and system requirements.
Upload Process
- Log in to your vendor dashboard.
- Select "Add New Product" from the menu.
- Complete all required fields in the product information form.
- Upload your product files through our secure file upload system.
- Set your pricing and availability options.
- Review your listing for accuracy and compliance.
- Submit for review and approval.
Review Process
All new products undergo a review process to ensure compliance with our guidelines. This process typically takes 1-3 business days. Products that do not meet our standards will be rejected with specific feedback for improvement.
Pricing & Discounts
QYRONY LLC provides vendors with flexibility in pricing their products while maintaining transparency and fairness for customers.
Pricing Guidelines
- Vendors set their own product prices in USD.
- Prices must be reasonable and reflect the value of the product.
- Prices cannot be changed after a customer has completed a purchase.
- QYRONY LLC reserves the right to reject pricing that is misleading or deceptive.
Discounts & Promotions
- Vendors may create discount codes for their products.
- Discount codes must have clear terms and conditions.
- QYRONY LLC may feature products in platform-wide promotions at its discretion.
- All discounts must comply with applicable laws regarding advertising and pricing.
Commission, Fees & Payouts
QYRONY LLC operates on a commission-based model with transparent fee structures and regular payout schedules.
Commission Structure
- Standard commission rate: 8.50% of gross sales.
- Commission is calculated on the final sale price after any discounts.
- QYRONY LLC reserves the right to adjust commission rates with 30 days' notice.
- Special commission rates may be offered to high-volume vendors or exclusive partners.
Additional Fees
- Withdrawal Charge: $0.49 per withdrawal request.
- Chargeback Fee: $15.00 per chargeback (non-refundable).
- Currency Conversion: 2.5% for conversions to non-USD currencies.
- Payment Processing: Included in commission rate.
Payout Schedule
- Payouts are processed monthly on the 15th for the previous month's earnings.
- Minimum withdrawal threshold: $25.00.
- Earnings below the minimum threshold will roll over to the next month.
- Processing time: 3-7 business days depending on payment method.
Payment Methods
- Direct deposit (ACH) for US vendors.
- PayPal for international vendors.
- Wire transfer for high-volume vendors (additional fees may apply).
Order Processing & Digital Delivery
QYRONY LLC provides a secure and efficient system for processing orders and delivering digital products to customers.
Order Processing
- All orders are processed automatically through our secure payment system.
- Vendors receive immediate notification of new orders via email and dashboard alerts.
- Customers receive access to their purchased products immediately after successful payment.
- QYRONY LLC handles all payment processing and security measures.
Digital Delivery System
- Products are delivered through our secure download portal.
- Customers receive a unique, time-limited download link for each purchase.
- Download links remain active for 30 days from the date of purchase.
- Customers may request a download extension if needed.
- QYRONY LLC tracks all downloads for security and analytics purposes.
Customer Access Management
- Customers create accounts to access their purchased products.
- Vendors can view which customers have purchased their products.
- Vendors cannot access customer payment information.
- QYRONY LLC manages all customer data in compliance with privacy regulations.
Refunds, Chargebacks & Disputes
QYRONY LLC has established clear policies for handling refunds, chargebacks, and disputes to ensure fair treatment for both vendors and customers.
Refund Policy
- QYRONY LLC offers a 14-day refund policy for most digital products.
- Refunds are issued at the discretion of QYRONY LLC based on the specific circumstances.
- Valid refund reasons include:
- Product not as described
- Technical issues preventing product use
- Accidental purchase
- Duplicate purchase
- Refunds are not available for products that have been extensively used or downloaded more than 3 times.
Chargeback Process
- When a chargeback is initiated, QYRONY LLC will notify the vendor immediately.
- Vendors have 5 days to respond with evidence supporting the transaction.
- QYRONY LLC will represent the vendor in the chargeback dispute process.
- If a chargeback is lost, the vendor is responsible for the full transaction amount plus a $15.00 chargeback fee.
- Repeated chargebacks may result in account suspension or termination.
Dispute Resolution
- QYRONY LLC mediates disputes between vendors and customers.
- Both parties will have an opportunity to present their case.
- QYRONY LLC's decision is final and binding.
- In cases of intellectual property disputes, QYRONY LLC may temporarily suspend the product in question pending resolution.
Intellectual Property, Exclusivity & Licensing
QYRONY LLC is committed to protecting intellectual property rights and providing clear licensing options for digital products.
Intellectual Property Rights
- Vendors must own or have valid licenses for all intellectual property in their products.
- By listing a product, vendors represent and warrant that they have all necessary rights.
- QYRONY LLC respects intellectual property rights and will respond promptly to infringement claims.
- Vendors may report suspected infringement through our dedicated IP claim form.
Exclusivity Options
- Non-Exclusive: Vendors may sell their products on other platforms.
- Platform-Exclusive: Products available only on QYRONY LLC, with reduced commission rates (7.0% instead of 8.5%).
- Time-Limited Exclusivity: Products exclusive to QYRONY LLC for a specified period, with temporary commission reduction.
Licensing Options
- Standard License: For personal or commercial use by one individual or organization.
- Extended License: For use in products that will be sold or distributed to multiple end-users.
- Custom License: Vendors may define specific terms for their products.
- All license terms must be clearly stated in the product description.
IP Infringement Process
- Submit a detailed infringement claim through our IP claim form.
- Include evidence of your ownership rights and the alleged infringement.
- QYRONY LLC will review the claim within 5 business days.
- If warranted, the product will be temporarily suspended pending further investigation.
- The accused vendor will be notified and given an opportunity to respond.
- QYRONY LLC will make a final determination based on the evidence provided.
Prohibited Products & Restricted Uses
To maintain a safe and trustworthy marketplace, QYRONY LLC prohibits certain types of products and uses of our platform.
Prohibited Products
- Products that violate any applicable law or regulation.
- Products that infringe on third-party intellectual property rights.
- Products containing malware, viruses, or malicious code.
- Products that facilitate illegal activities.
- Products containing hate speech, discriminatory content, or promoting violence.
- Products with sexually explicit content.
- Products related to gambling, illegal substances, or weapons.
- Products that violate privacy rights or contain personal data without consent.
- Products that make false health claims or provide dangerous medical advice.
- Products that are fraudulent, deceptive, or misleading.
Restricted Uses
- Using QYRONY LLC to distribute products outside our secure delivery system.
- Manipulating ratings, reviews, or sales data.
- Creating multiple accounts to circumvent restrictions.
- Using customer data obtained through QYRONY LLC for unsolicited marketing.
- Attempting to gain unauthorized access to QYRONY LLC systems or customer data.
- Interfering with the operation of our platform or other vendors.
Enforcement
- Products that violate these policies will be removed immediately.
- Repeated violations may result in account suspension or termination.
- QYRONY LLC cooperates with law enforcement in cases involving illegal products.
- Vendors may be subject to legal action for serious violations.
Vendor Conduct & Communication Rules
Professional conduct and appropriate communication are essential for maintaining a positive marketplace environment on QYRONY LLC.
Professional Conduct
- Vendors must conduct themselves professionally in all interactions with customers and QYRONY LLC staff.
- Harassment, threats, or abusive language toward customers or staff is strictly prohibited.
- Vendors must respond to customer inquiries in a timely and helpful manner.
- Misrepresentation of products, services, or credentials is prohibited.
- Collusion with other vendors to manipulate ratings, prices, or search results is prohibited.
Communication Guidelines
- All customer communication should occur through our messaging system when possible.
- Responses to customer inquiries should be provided within 48 hours.
- Communication must be professional, courteous, and relevant to the product or transaction.
- Soliciting customers to leave reviews is allowed, but offering incentives for positive reviews is prohibited.
- Directing customers to complete transactions outside QYRONY LLC is strictly prohibited.
Marketing & Promotion
- Vendors may promote their QYRONY LLC products through external channels.
- All marketing must accurately represent the products and comply with applicable advertising laws.
- Using QYRONY LLC's brand, trademarks, or intellectual property in marketing requires prior approval.
- Making false or misleading claims about products or their benefits is prohibited.
Ratings, Reviews & Feedback Policy
Customer ratings and reviews provide valuable feedback for vendors and help other customers make informed purchasing decisions.
Review System
- Customers may leave ratings (1-5 stars) and written reviews for purchased products.
- Reviews are visible to all potential customers.
- Vendors are notified when new reviews are posted.
- QYRONY LLC may remove reviews that violate our review policy.
Vendor Response to Reviews
- Vendors may respond publicly to customer reviews.
- Responses must be professional and address any concerns raised.
- Vendors may not offer incentives or rewards in exchange for modifying or removing reviews.
- Personal information about customers must not be shared in public responses.
Review Guidelines
- Reviews must be based on actual experience with the product.
- Reviews containing offensive language, personal attacks, or irrelevant content will be removed.
- Competitors may not post reviews of each other's products.
- Vendors may not post fake reviews or manipulate the review system.
- QYRONY LLC uses automated and manual methods to detect fraudulent reviews.
Dispute Resolution for Reviews
- Vendors may flag reviews that violate our policy for review by our moderation team.
- Customers may request removal of reviews they posted in error.
- QYRONY LLC makes the final determination on whether a review violates our policy.
- Repeated violations of our review policy may result in account restrictions.
Account Suspension, Termination & Data Retention
QYRONY LLC reserves the right to suspend or terminate vendor accounts that violate our guidelines, with clear processes for each action.
Account Suspension
- Temporary suspension may be imposed for minor or first-time violations.
- Suspended accounts cannot list new products or receive payments.
- The duration of suspension depends on the severity of the violation.
- Vendors will be notified of the reason for suspension and any requirements for reinstatement.
- During suspension, existing products may remain available for customers who have already purchased them.
Account Termination
- Termination may occur for serious or repeated violations of our guidelines.
- Terminated accounts lose access to the vendor dashboard and all platform features.
- Products from terminated accounts are removed from the marketplace.
- Customers who have purchased products from terminated vendors retain access to their purchases.
- QYRONY LLC may withhold final payments for terminated accounts if there are pending disputes or violations.
Data Retention
- QYRONY LLC retains vendor data in accordance with applicable laws and our privacy policy.
- Financial records are retained for at least 7 years for compliance purposes.
- Product data may be retained even after account termination to ensure continued customer access.
- Personal information is retained only as long as necessary for legitimate business purposes.
- Vendors may request a copy of their data before account termination.
Appeal Process
- Vendors may appeal suspension or termination decisions within 14 days of notification.
- Appeals must include specific reasons and any supporting evidence.
- QYRONY LLC will review appeals within 10 business days.
- The decision on appeals is final and binding.
Compliance with Laws & Regulations
Vendors on QYRONY LLC must comply with all applicable laws and regulations in the jurisdictions where they operate and sell their products.
Copyright & Intellectual Property
- Vendors must respect all copyright, trademark, patent, and other intellectual property rights.
- Use of third-party content requires proper licensing or permission.
- Attribution must be provided where required by license terms.
- Products must not contain unauthorized copies of software, media, or other protected content.
Privacy & Data Protection
- Vendors must comply with applicable privacy laws, including GDPR, CCPA, and other regional regulations.
- Personal data collected through products must be handled in accordance with privacy laws.
- Privacy policies must be provided with products that collect user data.
- Vendors must not use customer data obtained through QYRONY LLC for purposes unrelated to the transaction.
Consumer Protection
- Products must comply with consumer protection laws in all jurisdictions where they are sold.
- Advertising and product descriptions must not be deceptive or misleading.
- Required disclosures must be provided where mandated by law.
- Products targeting children must comply with additional regulations.
Export Controls & Sanctions
- Vendors must comply with all export control laws and regulations.
- Products may not be sold to individuals or entities in sanctioned countries.
- Products with encryption or other sensitive technologies may be subject to additional restrictions.
- Vendors are responsible for determining and complying with applicable export requirements.
Industry-Specific Regulations
- Products in regulated industries (finance, healthcare, education, etc.) must comply with industry-specific requirements.
- Financial products must comply with relevant financial regulations.
- Health-related products must not make unsubstantiated claims or provide dangerous advice.
- Educational products must accurately represent their content and credentials.
Limitation of Liability & Indemnification
This section outlines the limitations of liability and indemnification obligations between QYRONY LLC and its vendors.
Limitation of Liability
- To the maximum extent permitted by law, QYRONY LLC's liability to vendors is limited to the amount of commissions earned in the three months preceding the claim.
- QYRONY LLC is not liable for indirect, incidental, special, consequential, or punitive damages.
- QYRONY LLC is not liable for losses resulting from:
- Unauthorized access to or use of our secure servers.
- Interruption or cessation of transmission to or from our platform.
- Bugs, viruses, trojan horses, or other harmful code.
- Errors, mistakes, or inaccuracies in content.
- Personal injury or property damage of any nature.
- QYRONY LLC makes no warranties regarding the accuracy or reliability of our platform.
Indemnification
- Vendors agree to indemnify, defend, and hold harmless QYRONY LLC and its affiliates from any claims, damages, or expenses arising from:
- Violation of these guidelines or any other agreement with QYRONY LLC.
- Violation of any law or the rights of a third party.
- Content, products, or services provided by the vendor.
- Any misrepresentation made by the vendor.
- Vendors agree to cooperate with QYRONY LLC in the defense of any claim.
- QYRONY LLC reserves the right to assume exclusive defense and control of any matter subject to indemnification.
Dispute Resolution
- Any disputes arising from these guidelines or the vendor relationship will be resolved through binding arbitration.
- Arbitration will be conducted in English under the rules of the American Arbitration Association.
- The arbitration will be conducted in Denver, Colorado, USA.
- Either party may seek any interim or provisional relief in court as necessary.
- These guidelines are governed by the laws of the State of Colorado, USA.
Changes to Vendor Guidelines
QYRONY LLC may update these Vendor Guidelines from time to time to reflect changes in our platform, industry practices, or legal requirements.
Notification of Changes
- Material changes to these guidelines will be communicated to vendors at least 30 days before they take effect.
- Notifications will be sent via email and posted in the vendor dashboard.
- Minor updates or clarifications may be made without advance notice.
- The "Last Updated" date at the top of these guidelines will reflect the most recent changes.
Implementation of Changes
- Continued use of the QYRONY LLC platform after changes take effect constitutes acceptance of the new guidelines.
- If vendors do not agree to the changes, they may terminate their account before the changes take effect.
- QYRONY LLC may implement changes immediately for legal or security reasons.
- Changes to commission rates or fee structures will be implemented with at least 30 days' notice.
Feedback on Guidelines
- QYRONY LLC welcomes feedback from vendors on these guidelines.
- Suggestions for improvements can be submitted through the vendor dashboard.
- While we consider all feedback, we cannot guarantee implementation of all suggestions.
- Major changes may be discussed with vendor representatives before implementation.
